PLEASE READ THIS PRIVACY POLICY CAREFULLY. Mingly, Inc. (“Mingly,” “we” or “us“) is committed to protecting our customers’ privacy. We feel it is important that you fully understand the terms and conditions under which we collect, use, disclose, transfer, store and process the information we gather from you through the use of our Service (defined below). Unless otherwise defined in this Privacy Policy, terms used in this Privacy Policy have the same meanings as in our Terms of Use (the"Terms").
1. The Service.
Mingly is a personal relationship manager tool that allows you to maximize the potential of your personal and/or professional networks. Through our browser extension, and through other means such as our website located at www.ming.ly and the Mingly mobile applications (collectively,"Service"), you can access and organize information about those with whom you have relationships, including publicly available information, and you can link your Mingly accounts to your email, social networking and certain other accounts ("Third Party Services").
2. Information Collection and Use.
Users of the Service provide us with information through various means, including by linking their Mingly accounts to Third Party Services or through access to the Mingly user's on-device information such as address book or calendar (if using a Mingly mobile application). You are in control of what information you provide to us or authorize us to gather on your behalf through supplying us with your username and passwords and other account credentials ("Credentials"). The information provided by you (including Your Personal Information (as defined below)) is under your control, and you may ask us to modify it or delete it at any time. While your Personal Information resides on our systems, you authorize us to use it on your behalf to provide you with and improve the Services and to administer your membership and for the other purposes set out in the Terms and this Privacy Policy. As used in this policy, the terms “using” and “processing” information include using cookies on a computer, subjecting the information to statistical or other analysis and using or handling information in any way, including, but not limited to collecting, storing, evaluating, modifying, deleting, using, combining, disclosing and transferring information within our organization or among our affiliated companies within the United States or internationally.
3. Personally Identifiable Information.
When you register with us through the Services and become a Mingly Member, we will ask you for certain personally identifiable information. This refers to information about you that can be used to contact or identify you as defined by applicable privacy or data protection legislation (“Personal Information“). Your Personal Information may include, but is not limited to, your name, phone number, credit card or other billing information, your email address and, home and business postal addresses, and any other information or data that you provide to the Services, such as any of your webmail or social networking site accounts and Credentials that you link to your Mingly account or information from your on-device address book or calendar (if using a Mingly mobile application). You may change or delete any information that you provide; please use caution when linking or posting any Personal Information, as such information may be viewed by other Mingly Users (as defined below). Please see “Changing or Deleting Your Information” below for further information.
We also collect the other information that you provide as part of registration and the administration and personalization of your profile webpage (e.g., without limitation, company, occupation, zip code (on its own) and individual preferences) (“Non-Identifying Information“).
We use your Personal Information (in some cases, in conjunction with your Non-Identifying Information) to provide the Services, complete your transactions, administer your inquiries, and as permitted or required by any applicable law or regulation or for other purposes to which You consent (including through the Terms and this Privacy Policy). You have the option of providing us with the login Credentials to your email account(s). If you choose to provide us with those Credentials, you are authorizing us to use them on your behalf for the limited purposes of providing the Services to you, which may include in some cases obtaining the list of the individuals in your address book or with whom you exchange communications, and providing you with access to the messages stored in your account. You also have the option of providing us with the login Credentials to your accounts on certain social networking websites; we will use this information on your behalf to provide the Services to you, which may include obtaining a list of those individuals with whom you have connected on those sites and obtaining data from your social networking accounts using those Credentials to access data and data streams made available by those third party social networking services. You are responsible for obtaining and agree to obtain any necessary consent(s) if you provide the Services with access to your on- device address book or calendar (if using a Mingly mobile application), or if you integrate your email account(s) or social networking accounts with the Services for any collection, use or other handling of such data ("Third Party Data") in connection with the Services provided to you. You are under no obligation to provide us with these credentials or this data, and can de-link your accounts at any time. While Third Party Data resides on our systems, you authorize us to use it on your behalf to provide you with the Services and this data will be considered as part of your Personal Information. Except as provided herein, and notwithstanding anything else herein, we will not use such Third Party Data for any purpose other than to provide the Services.
We may also use your Personal Information to contact you with Mingly newsletters, marketing or promotional materials and other information that may be of interest to you. If you decide at any time that you no longer wish to receive such communications from us, please follow the unsubscribe instructions provided in any of the communications. You can also, at any time, opt out of receiving such communications by contacting us at unsubscribe@Ming.ly.
4. Traffic Data.
When you visit the Services, whether as a Mingly Member or a non-registered user just browsing (any of these, a “Mingly User“), our servers automatically record information that your browser sends whenever you visit a website (“Log Data“). This Log Data may include information such as your computer’s Internet Protocol (“IP“) address, browser type or the webpage you were visiting before you came to our Services, pages of our website and Services that you visit, the time spent on those pages, information you search for on our Services, access times and dates, and other statistics. We use this information to monitor and analyze use of the Services and for the Services’ technical administration, to increase our Services’ functionality and user- friendliness, and to better tailor it to our visitors’ needs. For example, some of this information is collected so that when you visit the Services again, it will recognize you and serve information appropriate to your interests. We also use this information to verify that visitors to the Services meet the criteria required to process their requests.
Like many websites and services, we use “cookies” to collect information. A cookie is a small data file that we transfer to your computer’s hard disk for record-keeping purposes. We use cookies for two purposes. First, we utilize persistent cookies to save your registration ID and login password for future logins to the Services. Second, we utilize session ID cookies to enable certain features of the Services, to better understand how you interact with the Services and to monitor aggregate usage by Mingly Users and web traffic routing on the Services. Unlike persistent cookies, session cookies are deleted from your computer when you log off from the Services and then close your browser. Third party advertisers on the Services may also place or read cookies on your browser. You can instruct your browser, by changing its options, to stop accepting cookies or to prompt you before accepting a cookie from the websites you visit. If you do not accept cookies, however, you may not be able to use any or all portions or all functionality of the Services.
5. Communicating Via a Mingly Account.
As part of the Service, Mingly Members may communicate with Mingly Members and non-registered users through use of their accounts. Where Mingly Members have selected the option of sending a message to an individual using a form provided by the Services, the message they create in the corresponding template will be sent from Mingly to those email addresses or social network accounts on their behalf.
6. Information Sharing and Disclosure.
To be able to serve you, your Personal Information (including Third Party Data) may be collected, used, disclosed, transferred, stored and processed or otherwise used by or on Mingly's behalf by companies in the Mingly corporate family, to perform functions related to the Terms and this Privacy Policy on our behalf. We will not share your Personal Information with other people or non-affiliated companies except to provide the Services, or when we otherwise have your permission, or under the circumstances described in this Privacy Policy.
7. Aggregate Informationand Non-Identifying Information.
We may share aggregated information that does not include Personal Information and we may otherwise disclose Non-Identifying Information and Log Data with third parties for industry analysis, demographic profiling and other purposes. Any aggregated information shared in these contexts will not contain your Personal Information.
8. Service Providers.
We may employ third party companies and individuals to process your payments, facilitate our Service, to provide the Service on our behalf, to perform Services-related services (e.g., without limitation, maintenance services, database management, web analytics and improvement of the Services’ features) or to assist us in analyzing how our Services are used. These third parties have access to Personal Information only to perform these tasks on our behalf and are obligated not to disclose or use it for any other purpose. Third parties will have access to Third Party Data only to perform tasks on our behalf related to the Services provided to you, and are obligated not to disclose or use it for any other purpose.
9. Compliance with Laws and Law Enforcement.
Mingly cooperates with government and law enforcement officials and private parties to enforce and comply with the law. We will disclose any information to government or law enforcement officials or private parties as we, in our sole discretion, believe necessary or appropriate to respond to claims and legal process (including but not limited to subpoenas), to protect the property and rights of Mingly or a third party, to protect the safety of the public or any person, or to prevent or stop activity we may consider to be, or to pose a risk of being, any illegal, unethical or legally actionable activity.
10. Business Transfers.
We may sell, transfer or otherwise share some or all of its assets, including Personal Information, in connection with a merger, acquisition, reorganization or sale of assets or in the event of bankruptcy.
11. Changing or Deleting Your Information.
All Members may review, update, correct or delete the Personal Information in their account by contacting us at accountupdates@Ming.ly. If you completely delete all such information, then your account will become deactivated and all your information will be removed from our servers. Your account and associated data may also be deleted after a period of inactivity. You also authorize us, on your behalf, and in accordance with your account preferences to delete information when not reasonably needed for the Services.
12. Security.
We employ administrative, physical and electronic measures designed to safeguard and protect your Personal Information from unauthorized access and disclosure including encrypting your communication to and from Mingly servers through the Service by utilizing Secure Sockets Layer (SSL) software or other means.
Please be aware that no security measures are immune to online attacks or attempts to evade industry security measures. We cannot control the actions of other users with whom you share your information, and there is no guarantee that information may not be accessed, disclosed, altered, or destroyed by breach of any of our physical, technical, or managerial safeguards. You can reduce these risks by using common sense security practices such as choosing a strong password, using different passwords for different services, and using up-to-date antivirus software.
We will make any legally required disclosures of any breach of the security, confidentiality, or integrity of your unencrypted electronically stored personal information or data (as defined in applicable state, provincial and federal statutes on security breach notification) to you in a manner consistent with applicable law.
13. International Transfer.
Your information may be transferred to — and maintained on — computers located outside of your state, province, country or other governmental jurisdiction where the privacy laws may not be as protective as those in your jurisdiction. If you are located outside the United States and choose to provide information to us, Mingly may transfer your Personal Information to the United States, Canada, or other countries where Mingly or its affiliated companies and third party service providers maintain facilities and process the Personal Information. Your use of the Services or submission of such information represents your agreement to that transfer.
14. Links to Other Sites.
Our Services may contain links to other websites for news and other information. If you choose to visit an advertiser by “clicking on” a banner ad or other type of advertisement, or click on another third party link, you will be directed to that third party’s websites. The fact that we may link to a website or present a banner ad or other type of advertisement is not an endorsement, authorization or representation of our affiliation with that third party, nor is it an endorsement of their privacy or information security policies or practices. We do not exercise control over third party websites. These other websites may place their own cookies or other files on your computer, collect data or solicit personal information from you. Other services follow different rules regarding the use or disclosure of the personal information you submit to them. Our Privacy Policy only applies to the Services and we are not responsible for the privacy practices or the content of other websites. You should check the privacy policies of those sites before providing your personal information to them.
15. Children’s Information.
The Services are not directed to children. We do not knowingly collect personally identifiable information from children. If a parent or guardian becomes aware that his or her — provided us with Personal Information without their consent, he or she should contact us at privacy@ming.ly. If we become aware that a member is under the age of 13 and has provided us with Personal Information without verifiable parental consent, we will delete such information from our files.
16. Agreement and Changes.
By using the Services, you agree to the current Privacy Policy and Terms, to which this Privacy Policy is incorporated. Mingly reserves the right, in its sole discretion, to modify, discontinue, or terminate the Services or to modify this Privacy Policy at any time. If we modify this Privacy Policy, we will revise the “last updated” date and notify you of such changes by posting them on the Services or providing you with notice of the modification at www.ming.ly/privacy. Please regularly review that site for changes. If you continue to use the Service more than sixty (60) days after notice of the change has been given, then you shall be deemed to have accepted such changes. If the modified Privacy Policy is not acceptable to you, your only recourse is to cease using the Services.
